To ensure a proper understanding of the present Terms and Conditions, Users should refer to the following definitions:

“ T&C “ or “ Terms & Conditions”: Refers to the present Terms & Conditions of Use of the Website concluded between the User and the Company, regulating in particular the access to the Website.

“Specific Terms and Conditions of Use”:  Refers to the Specific Terms and Conditions of Use for specific services that may be offered by the Website, such as the General Terms and Conditions of Sale.

“Company”:  Refers to the publisher of the Website, the company TS3, a simplified corporation, registered in the Companies House of PARIS under the number B 433 236 742, whose corporate headquarters are located at 10, place du Général Catroux 75017 Paris.

“User”: Refers to any person who uses or accesses the Website or one of the Services offered on the Website, regardless of the network or the device used.

The purpose of these T&C is to inform the User of the conditions under which the User may access, register, consult and use the Website, published by the Company.  The T&C constitute a contract between the Company and the User of the Website.

By accessing, using, consulting or registering on the Website, the User agrees to accept without reservation the present Terms and Conditions.  Visiting the Website does not require prior registration.

  1. Limitation of Liability & Disclaimers

5.1 The Company takes all necessary measures to ensure the quality of the Website.  Nevertheless, the Company cannot be held responsible for any unavailability, failure, modification or error that may occur during the use of the Website, with the exception of those provided for under the Specific Terms and Conditions of Use inherent in certain services offered by the Company.  The Company does not guarantee that the Website and its Contents will be free of anomalies, errors or bugs, nor that they will function without breakdown or interruption.  The Company cannot guarantee the continuity, accessibility and absolute security of the Website, particularly considering the risks associated with the Internet.

5.2 By using the Website or its Contents, the User guarantees that he/she has the necessary skills, equipment and software to use the Website and its Contents and, more generally, the Internet without risk.  The User understands the characteristics of the Internet and its use, in particular the limitations related to technical performance, response time and the risks related to the security of communications.  The User expressly acknowledges that he/she uses the Website and its Contents at his/her own risk. The Company cannot be held liable for any damage resulting from the use of the Website, the Contents and the Internet network, such as loss of data, computer intrusion, viruses or other involuntary problems, except where the Company has failed in its obligation to ensure the security of data by appropriate means.

The Company shall not be held liable for compensation for direct and/or indirect immaterial and/or material damage suffered by Users and/or third parties, whatever they may be, and for which the Company’s actions have not been proven to be the cause of the damage.

5.3 The Company shall not be liable for connection costs, and in general, all communication costs incurred by accessing and using the Website and/or the Content.

5.4 The Company shall not be held responsible for the contractual or non-contractual relationship between advertisers, partners, third party websites (as defined in article 6.1) or any other third party and the Users of the Website, unless expressly stipulated in the contract.

5.5 The User agrees to accept the provisions relating to force majeure.  Force majeure is constituted by any external, unavoidable and unforeseeable event recognised by the French law which prevents one or both of the parties from executing all or part of the commitments contained herein.

5.6 The Company reserves the right to freely determine any period of unavailability of the Website and/or the Content, particularly for technical reasons, to improve the offered services or to optimize their use.  The Company thus reserves the right to modify, delete or cancel all or part of the Services offered on the Website, at any time and without justifying it.

 

  1. Links to external websites

6.1 Responsibility and links to Third Party Sites

The present Website may contain links, in particular hypertext links, to other Internet sites managed and published by third parties (hereinafter the “Third Party Sites”) and in particular to ticketing distributors for live events. The Company has no control over Third Party Sites and assumes no responsibility in particular for their content.   The Company is not responsible for any data received from a Third Party Site and/or for any damage caused directly or indirectly by a Third Party Site or by its use by the User.  These links are provided to the User by the Company only for the User’s convenience.  The Company is not responsible for the contractual relationship between the User and the Third Party Site, in particular in case of purchase of a ticket related to a live performance event by the User on the Third Party Sites. It is the User’s responsibility to respect all regulations applicable to Third Party Sites and in particular their respective general terms and conditions of sale.

6.2 Links

The creation of hypertext links to the Website is subject to the prior agreement of the Company.  In case of creation of a hypertext link to the Website which would not have been the subject of a prior agreement from the Company, the Company reserves the right to require the withdrawal of the above mentioned hypertext link directing to the Website.

 

  1. Copyright & Intellectual Property

7.1 The Site, its Contents and Services, its software, drawings, models, databases, trademarks and logos are subject to intellectual property law.   These various elements are the property of the Company and/or any third party.  The User agrees to respect these rights. The Company only provides the User with a non-exclusive and non-transferable right of use ( meaning non-commercial  use, characterised by browsing or subscribing, where applicable, to the Specific Conditions of Use of this Website) and consequently reserves the rights of exploitation, distribution, transfer, as well as any other right on the elements that constitute its Website.

7.2 The products and games presented on the Website belong to registered trademarks or commercial trademarks belonging to their respective owners.

7.3 The right of access granted to the User (in article 7.1) does not include any authorisation to reproduce or represent the Website or its Contents.  Therefore, any reproduction or representation of all or part of the Website or its Contents, outside of the legal exceptions provided by the Intellectual Property Code, will be considered as an infringement of copyright and may be subject to legal action before the competent courts.

7.4 The User is therefore forbidden, under penalty of civil and/or criminal sanctions, to represent, reproduce, adapt, modify, transfer, commercialize, distribute or imitate all or part of the Site and/or the Contents (by himself/herself or the third parties).

 

  1. Term and duration

8.1 The applicable version of the Terms and Conditions is the one in force during the duration of each visit to the Website and the Content by the User.

8.2 These T&C are concluded between the Company and the User, from the moment the User visits the Website and/or the Content.  The T&C are concluded for the entire duration of the use of the Website.

8.3 In case of refusal of the present T&C, the User must stop using the Website.

8.4 Non-compliance with any of the provisions of the present T&C shall result in the immediate dissolution of the contract between the Company and the User, without prejudice to any damages for the Company.

 

  1. Governing Law and Dispute Resolution

The present T&C are governed exclusively by French law.  Any disagreement or dispute that cannot be settled by amicable means shall be submitted exclusively to the competent courts.  For Users acting as professionals, disputes arising from the interpretation or application of these Terms and Conditions of Use shall be submitted to the competent courts in Paris.

 

  1. Other terms

10.1 These Terms and Conditions are concluded between the Company and the User, the User being unable to transfer them.

10.2 Each clause of these Terms and Conditions is valid separately and remains valid and applicable independently of the others.   The invalidity of a clause or part of these T&C does not affect the validity of the remaining clauses.

10.3 Any notification in relation to these T&C of the Website may be made by email by the Company.

10.4 These T&C are the only terms and conditions applicable to the Website; they apply in full and the User may not modify them.

10.5 The Company reserves the right to modify these T&C at any time.  In case of substantial modification of the Website or of these Terms and Conditions of Use, the Company will notify the User in advance of such modification.  Nevertheless, the User is advised to regularly consult the Terms & Conditions in order to be aware of any changes made to them and of the current version at the time of consulting the Website and the Services.
